End User License Agreement
EULA Terms governing the use of NgenoTech Global software products

⚠ IMPORTANT: By downloading, installing, or using any software from NgenoTech Global, you agree to be bound by the terms of this End User License Agreement. If you do not agree, do not install or use the software.
1. Grant of License
NgenoTech Global ("Licensor") grants you ("Licensee") a non-exclusive, non-transferable, limited license to install and use the purchased software solely for your own personal or internal business purposes in accordance with this Agreement.
2. Scope of License
2.1 Single Business License
Unless otherwise specified at the time of purchase, a standard license permits use of the software on one business location. Additional sites require additional licenses.
2.2 Permitted Uses
- Install and run the software on authorised devices within your business
- Make one backup copy for archival purposes
- Use the software to manage your business operations as intended
2.3 Prohibited Uses
- Reverse engineer, decompile, or disassemble the software
- Sell, rent, lease, sublicense, or redistribute the software to third parties
- Remove or alter any copyright notices, watermarks, or proprietary labels
- Use the software for any unlawful purpose
- Share your license key or access credentials with unauthorised users
- Modify, adapt, or create derivative works based on the software without written consent
3. Intellectual Property
The software and all copies thereof are proprietary to NgenoTech Global and title thereto remains with NgenoTech Global. All rights in the software not specifically granted in this Agreement are reserved to NgenoTech Global.
The software is protected by copyright laws of Kenya and international treaties. You acknowledge that no title to the intellectual property in the software is transferred to you.
4. Updates and Support
4.1 Free Updates
Minor updates (bug fixes, small improvements) within the same major version are provided free of charge where available.
4.2 Major Upgrades
Major version upgrades may require an additional purchase or upgrade fee.
4.3 Technical Support
Standard support is provided via email and WhatsApp for 90 days from the date of purchase. Extended support packages are available separately.
5. Data and Privacy
Our software may collect usage data to improve performance and provide support. Any data collection is governed by our Privacy Policy. Business data you enter into the software remains your property at all times.
6. Disclaimer of Warranties
The software is provided "as is" without warranty of any kind. NgenoTech Global does not warrant that the software will be error-free, uninterrupted, or free from security vulnerabilities. We recommend maintaining regular backups of your data.
To the maximum extent permitted by Kenyan law, we disclaim all implied warranties including fitness for a particular purpose and merchantability.
7. Limitation of Liability
In no event shall NgenoTech Global be liable for any consequential, incidental, indirect, special, or punitive damages arising from your use of or inability to use the software, including loss of data or business profits.
Our maximum liability shall not exceed the amount you paid for the software license.
8. Termination
This license is effective until terminated. It will terminate automatically if you fail to comply with any term of this Agreement. Upon termination, you must delete all copies of the software in your possession.
NgenoTech Global reserves the right to terminate or suspend access to software services (where applicable) for violations of this Agreement.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from this Agreement shall be subject to the jurisdiction of the courts of Nairobi, Kenya.
